These Terms of Service (the "Terms") govern your access to and use of the Home Close platform at homeclose.ai (the "Service"), operated by Diaphora Inc. ("Home Close," "we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.
Home Close is a software platform for real estate agents to manage listings, collect and review offers with bank-verified proof of funds, schedule showings and open houses, and communicate with buyers. The Service is provided on an "as is" and "as available" basis and may change over time.
You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate information and to keep it current. Notify us immediately of any unauthorized use of your account.
If you use the Service as a real estate professional, you represent that you hold any licenses required in your jurisdiction and will comply with all applicable real estate laws, fair housing laws, and professional obligations. You are solely responsible for your listings, your communications with buyers and sellers, and any agreements you enter into through or outside the Service. Home Close is a technology provider and is not a party to any real estate transaction.
When you collect information from buyers, open house visitors, or other third parties through the Service, you are responsible for obtaining any required consents and for handling that information in accordance with applicable law. You agree to use contact information obtained through the Service only for legitimate purposes related to the relevant transaction or relationship, and not for unlawful solicitation.
The Service offers a free tier and a paid "Pro" subscription. Paid subscriptions are billed in advance on a recurring basis through our payment processor, Stripe. Unless otherwise stated, fees are non-refundable except as required by law. You may cancel at any time; cancellation takes effect at the end of the current billing period. We may change our fees on prospective notice.
The Service integrates with third-party providers, including Plaid (bank verification), Stripe (payments), Meta/Instagram (optional content), and Google (optional read-only calendar availability). Your use of those integrations may be subject to the third party’s own terms and privacy policies. We are not responsible for the acts or omissions of third-party providers.

The Service, including its software, design, and content (excluding user-provided content), is owned by Home Close and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms. You retain ownership of the content you upload and grant us a license to host and display it as needed to operate the Service.
The Service is provided without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Home Close does not provide legal, financial, or real estate advice. Proof-of-funds verification reflects information reported by third-party sources at a point in time and does not guarantee a buyer’s ability to close. You are responsible for your own professional judgment.
To the maximum extent permitted by law, Home Close and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the amounts you paid to us in the twelve months preceding the claim.
You agree to indemnify and hold harmless Home Close and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your content, or your violation of these Terms or applicable law.
You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service. Upon termination, your right to use the Service ceases. Certain provisions, including intellectual property, disclaimers, limitation of liability, and indemnification, survive termination.
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws principles. Any dispute arising under these Terms will be subject to the exclusive jurisdiction of the state and federal courts located in New York, unless otherwise required by applicable law.
We may update these Terms from time to time. We will post the updated Terms on this page with a new effective date, and material changes may be communicated to you. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
